1. Acceptance of Terms

By accessing or using the Replivo AI platform ("Services") operated by AgentPulse Digital LLC ("Replivo," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Services.

2. Description of Services

Replivo AI is a SaaS platform that provides AI-powered communication tools for licensed real estate professionals ("Realtors"), including automated SMS messaging, lead follow-up, appointment management, and customer care communications. Services are accessed via replivo.ai.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding agreements to use the Services. By using the Services, you represent and warrant that you meet these requirements.

4. Account Registration

You must create an account to access the Services. You agree to:

• Provide accurate and complete registration information.
• Keep your account credentials confidential.
• Notify us immediately of any unauthorized access to your account.
• Be responsible for all activity that occurs under your account.

5. SMS Messaging Program

5.1 Program Description

Replivo AI enables Realtors to send AI-assisted SMS messages to their real estate leads for purposes including lead follow-up, property inquiry responses, appointment confirmations, and customer care communications.

5.2 Message Frequency

Message frequency varies based on lead activity and Realtor configuration. You may receive multiple messages per week depending on your engagement with the Realtor's services.

5.3 Message and Data Rates

Message and data rates may apply. Standard carrier rates for SMS and data apply depending on your mobile plan.

5.4 Opt-Out

You may opt out of receiving SMS messages at any time by replying STOP to any message. After opting out, you will receive one final confirmation message and no further SMS messages will be sent.

5.5 Help

5.6 Supported Carriers

Major US carriers are supported including AT&T, Verizon, T-Mobile, and others. Carrier availability may vary.

5.7 Consent Requirements

All SMS recipients must have provided prior express written consent before receiving messages. Realtors using Replivo AI are solely responsible for obtaining, documenting, and maintaining valid consent from their leads in compliance with the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and applicable A2P 10DLC requirements.

6. Acceptable Use

You agree not to use the Services to:

• Send unsolicited messages (spam) to any individual who has not provided valid consent.
• Violate any applicable law or regulation, including the TCPA, CAN-SPAM Act, or CTIA Messaging Guidelines.
• Transmit content that is unlawful, harassing, defamatory, obscene, or fraudulent.
• Impersonate any person or entity.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorized access to any part of the Services or related systems.

Violation of this section may result in immediate account termination.

7. Payment and Billing

• Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.
• Payments are processed securely by Stripe. By providing payment information, you authorize us to charge the applicable fees.
• Fees are non-refundable except as required by law or as expressly stated in our refund policy.
• We reserve the right to change pricing with 30 days' notice to active subscribers.

8. Intellectual Property

All content, software, logos, and materials on the Replivo AI platform are owned by AgentPulse Digital LLC or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for your business purposes only.

9. Data and Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated herein by reference. You are responsible for ensuring that any personal data you upload or process through the Services (including lead contact data) is handled in compliance with applicable privacy laws.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTPULSE DIGITAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless AgentPulse Digital LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of any applicable law, including the TCPA.
• Any claim that your lead data or messaging activities caused harm to a third party.

13. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason with notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including Sections 8, 10, 11, 12) will survive.

14. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Miami-Dade County, Florida.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or platform notification. Continued use of the Services after the effective date of changes constitutes your acceptance of the updated Terms.
